Terms of Service

Effective April 24, 2026. These terms govern your use of the eunoiaconsulting.net website. Engagement-specific terms are handled separately in signed agreements.

1. Acceptance of these terms

These Terms of Service (the "Terms") form a legal agreement between you ("you" or "your") and Eunoia Consulting Ltd. ("Eunoia", "we", "us", or "our") governing your access to and use of the website at eunoiaconsulting.net and any content, functionality, or services offered through it (collectively, the "Site").

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. Scope of these Terms

These Terms apply only to your use of the Site. Where Eunoia provides consulting, advisory, or implementation services to you as a client, those services are governed by a separate written engagement agreement (a "Services Agreement"). In the event of a conflict between these Terms and a Services Agreement, the Services Agreement controls with respect to the services it covers.

3. Eligibility

You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization and, in that case, "you" includes that organization.

4. Informational purposes only; not advice

The Site, including any articles, insights, frameworks, or tools made available through it, is provided for general informational purposes only. Nothing on the Site constitutes professional, business, legal, tax, financial, or other advice. You should not act or refrain from acting on the basis of content on the Site without seeking appropriate professional advice.

5. Intellectual property

All content on the Site, including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, and the selection and arrangement thereof, is the property of Eunoia or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and view the Site for your personal, non-commercial, informational use. All other uses — including reproduction, modification, distribution, public performance, or commercial exploitation — require our prior written consent.

The marks "Eunoia" and "Eunoia Consulting", the Eunoia logo and emblem, and any associated wordmarks are trademarks of Eunoia. You may not use them without our prior written consent.

6. Acceptable use

You agree that you will not:

  • use the Site in any manner that violates applicable law or regulation;
  • attempt to gain unauthorized access to the Site, its servers, or any connected systems;
  • interfere with, disrupt, or attempt to probe the vulnerability of the Site or its underlying infrastructure;
  • use automated means (including scrapers, crawlers, or data-harvesting tools) to access the Site except as permitted by our robots.txt;
  • use the Site to train, fine-tune, or benchmark machine-learning models without our prior written consent;
  • use the Site to send unsolicited communications, including spam; or
  • use the Site in a manner that could damage, disable, overburden, or impair it.

7. Submissions and feedback

If you submit information through the contact form or otherwise send us ideas, suggestions, or feedback regarding the Site or our services ("Submissions"), you grant Eunoia a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, and sublicensable licence to use, reproduce, modify, and exploit such Submissions for any business purpose, without attribution or compensation. You represent that your Submissions do not infringe the rights of any third party.

8. Third-party links and services

The Site may contain links to third-party websites and services. These links are provided for convenience only. We do not control, and are not responsible for, the content, privacy practices, or policies of any third party. Your use of third-party websites and services is at your own risk and subject to the terms and policies of those third parties.

9. Disclaimers

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. WITHOUT LIMITING THE FOREGOING, EUNOIA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

10. Limitation of liability

(a) Exclusion of indirect damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EUNOIA, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, YOUR ACCESS TO OR USE OF THE SITE, OR ANY SERVICES PROVIDED BY EUNOIA, EVEN IF EUNOIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) Cap on liability — Site use. For claims arising solely from your access to or use of the Site (and not from any paid services engagement), Eunoia's total aggregate liability will not exceed one hundred Canadian dollars (CAD $100).

(c) Cap on liability — Paid services. For claims arising out of or in connection with any paid services engagement between you and Eunoia, Eunoia's total aggregate liability will not exceed the total fees actually paid by you to Eunoia under the engagement giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim. Where a Services Agreement (including any Statement of Work or Master Services Agreement) sets out additional or different terms with respect to liability, those terms will control to the extent of any conflict.

(d) Carveouts. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud, gross negligence, or willful misconduct.

(e) Allocation of risk. The parties acknowledge that the limitations in this Section 10 form an essential basis of the bargain between them and that the fees and other consideration reflect this allocation of risk.

11. Indemnification

You agree to defend, indemnify, and hold harmless Eunoia, its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site; (b) your breach of these Terms; or (c) your violation of any applicable law or third-party right.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, the rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Site will be submitted to the exclusive jurisdiction of the courts located in British Columbia, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may revise these Terms at any time by posting an updated version on the Site. The "Effective" date at the top of this page indicates when the current version took effect. Your continued use of the Site after any change constitutes your acceptance of the updated Terms.

15. Miscellaneous

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms continue in full force. Our failure to enforce any right or provision will not be considered a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any applicable Services Agreement, constitute the entire agreement between you and Eunoia regarding the Site.
